Executive Officers

Mr. Philip J. Sanders
Chief Executive Officer
Phil Sanders is Chief Executive Officer of Waddell & Reed Financial, Inc. He is also a member of our Board of Directors. As CEO, Mr. Sanders oversees all aspects of the company that, through its subsidiaries, provides proven, professional investment management and financial planning services to individuals and institutional investors. He also serves as President of the company’s asset manager, Ivy Investment Management Company, and served as Chief Investment Officer from February 2011 to June 2019.

Mr. Sanders has 30 years of experience in the asset management industry and joined the company in 1998 as a portfolio manager. Across his career, he also has held positions as an analyst and as portfolio manager, focusing primarily on the large cap growth category, where for nearly 20 years he managed a range of retail mutual funds and institutional accounts.

Prior to joining the company, Mr. Sanders was affiliated with Banc of America Capital Management, the investment management division of Bank of America. He received his BA in Economics from the University of Michigan and earned a MBA from the University of North Carolina at Charlotte. Mr. Sanders is a CFA® charterholder and is a member of the CFA Institute and the CFA Society Kansas City.
Mr. Brent K. Bloss
Executive Vice President and Chief Operating Officer
Brent Bloss is Executive Vice President and Chief Operating Officer of Waddell & Reed Financial, Inc. As COO, he has responsibility for company operations and directly leads multiple functions, including the Wealth Management business, Transfer Agency, Technology Enablement, Legal/Compliance, Investment Risk Management, Investment Operations and Trading, Corporate Administration and Strategic Acquisitions.

Mr. Bloss was appointed COO in November 2017 and was Senior Vice President and Chief Financial Officer from February 2014 to February 2018. Mr. Bloss joined the company as Assistant Vice President and Assistant Treasurer in 2002 and held several finance positions prior to his appointment as CFO, including Principal Accounting Officer and Treasurer.

Prior to joining the company, Mr. Bloss was affiliated with the international accounting firm KPMG LLP, where he held the position of Senior Audit Manager, specializing in both financial service and transportation companies.

Mr. Bloss received his BS in Accounting from Missouri State University. He earned a MBA with a concentration in Finance from the University of Missouri-Kansas City. Mr. Bloss holds a CPA designation and is a member of the American Institute of Certified Public Accountants. He also holds a FINRA Series 27 Financial and Operations Principal license.
Mr. Mark P. Buyle
Senior Vice President, General Counsel, Chief Legal Officer and Secretary
Mark Buyle is Senior Vice President, General Counsel, Chief Legal Officer and Secretary of Waddell & Reed Financial, Inc. where he leads the Legal, Investment Management Compliance, Wealth Management Compliance and Transfer Agent Compliance departments.

Mr. Buyle joined the company in 1995 as senior attorney and, over the years, has provided legal guidance to nearly every area of the company. Mr. Buyle’s range of work has included involvement or oversight of legal work within multiple areas, including compliance, regulatory, corporate and litigation. He most recently served as Interim General Counsel, a role he assumed in April 2018. Prior to that, he was Deputy General Counsel.

Before joining the company, Mr. Buyle was a corporate attorney with the Kansas City law firm Polsinelli. He has a Bachelor’s degree in Business Administration from Kansas State University and a Juris Doctor degree from the University of Kansas School of Law.
Mr. Benjamin R. Clouse
Senior Vice President, Chief Financial Officer and Treasurer
Ben Clouse is Senior Vice President, Chief Financial Officer and Treasurer of Waddell & Reed Financial, Inc. As CFO, he oversees Accounting, Data Analytics, Financial Planning and Analysis, Investor Relations, Mutual Fund Accounting, Procurement, Strategic Acquisitions, Tax, and Treasury.

Mr. Clouse has served as Chief Financial Officer since February 2018 and as Treasurer since December 2018. Mr. Clouse joined the company in October 2015 as Vice President, Finance and was Chief Accounting Officer prior to his appointment as CFO.

Prior to joining the company, Mr. Clouse served as Chief Financial Officer of Executive AirShare Corporation from 2012 to 2015. From 2006 to 2012 and from 2002 to 2005, he served in various roles with H&R Block, Inc., including Assistant Vice President - Audit Services and Assistant Vice President and Controller - Tax Services. From 2005 to 2006, Mr. Clouse served as Vice President - Finance and Corporate Controller of Gold Bank Corporation, Inc. Prior to 2002, he served in various roles in the audit practice of Deloitte, specializing in the financial services industry.

Mr. Clouse received his BS in Business Administration and earned a Master of Accountancy, both from Kansas State University. He holds a CPA designation and a FINRA Series 27 Financial and Operations Principal license.
Mr. Daniel P. Hanson
Senior Vice President and Chief Investment Officer
Dan Hanson is Senior Vice President and Chief Investment Officer of Waddell & Reed Financial, Inc. and the company’s asset manager, Ivy Investment Management Company. He is responsible for leading the company’s investment management division.

Mr. Hanson joined the company in June 2019 and has more than 25 years of investment and leadership experience. Prior to joining the company, he served as Portfolio Manager and Managing Director, Office of the CIO with BlackRock from 2003 to 2013, as Partner, Head of U.S. Equities and Co-Chair of the Investment Strategy Committee for Jarislowsky Fraser Global Investment Management from 2013 to 2018 and most recently as Head of Impact Investing for JANA Partners LLC.

Mr. Hanson earned his Bachelor’s degree in Economics and French from Middlebury College, and earned a MBA, Accounting and Analytic Finance, from The University of Chicago. He is a CFA® charterholder and is a member of the CFA Institute.
Mr. Shawn M. Mihal
Senior Vice President – Wealth Management
Shawn Mihal is Senior Vice President – Wealth Management of Waddell & Reed Financial, Inc. and President of Waddell & Reed, Inc. (WRI) where he oversees Wealth Management Markets, Sales & Advisor Acquisitions, Operations, Product & Planning, Administration and Supervision.

Mr. Mihal joined the company in 2015 as Senior Vice President, Chief Compliance Officer and Chief Regulatory Officer of WRI and Ivy Distributors, Inc. He was promoted to Chief Operating Officer of WRI in August 2017 and President of WRI in November 2017. Prior to joining the company, he served as Vice President and Chief Compliance Officer for Transamerica Financial Advisors, Inc. in St. Petersburg, Florida from September 2010 to March 2015 and as Chief Compliance Officer for Great American Advisors, Inc. in Cincinnati, Ohio from October 2004 to August 2010.

Mr. Mihal earned his Bachelor's degree in Business Economics from the University of Cincinnati. He holds FINRA Series 7 and 24 securities registrations and a NASAA Series 66 investment advisor registration.
Mr. Christopher W. Rackers
Senior Vice President and Chief Administrative Officer
Christopher Rackers is Senior Vice President and Chief Administrative Officer of Waddell & Reed Financial, Inc. As CAO, he oversees Communications, Corporate Real Estate, Corporate Strategic Initiatives, the Enterprise Project Management Organization, Human Resources, Marketing and Philanthropy.

Mr. Rackers joined the company in January 2017 as Chief Human Resources Officer and has over 25 years of business leadership experience including leadership roles at both public and private corporations. His prior experience includes Senior Vice President, Human Resources at Aramark, Vice President, Human Resources at H&R Block, Vice President, Global Human Resources at WIS International and Vice President, Global Human Resources at Payless ShoeSource.

Mr. Rackers received his BS in Marketing from Missouri State University and his MBA from Texas Christian University.
Ms. Amy J. Scupham
Senior Vice President – Distribution
Amy Scupham is Senior Vice President – Distribution of Waddell & Reed Financial, Inc. and President of Ivy Distributors, Inc. (IDI), the distributor of Ivy Funds and the financial products and services offered by its affiliates, including Ivy Investment Management Company, the company’s asset manager. In this role, she leads wholesale and institutional distribution, sales and product development, as well as managing strategic relationships.

Ms. Scupham joined the company in 2008 and has held roles in institutional sales and consultant relations, most recently serving as Chief Operating Officer of IDI. She had a key role in building alignment with the firm’s investment management division, while creating a centralized sales operations function focused on prescribed sales processes, training, reporting and systems.

Ms. Scupham graduated from the University of Nebraska at Kearney with a BS in Business Administration in Accounting/Finance. She is a CFA® charterholder and a member of the CFA Institute and the CFA Society of Kansas City.

Mr. Thomas C. Godlasky
Non-Executive Chairman of the Board and Former CEO of Aviva North America
Mr. Godlasky has been a director of the Company since July 2010 and Chairman of the Board since April 2018. Mr. Godlasky served as Chief Executive Officer of Aviva North America, Aviva plc’s life insurance and annuity business in the U.S. and its property and casualty business in Canada, from July 2007 to March 2010. Mr. Godlasky also served in the dual position as Chief Executive Officer and President of Aviva USA from November 2006 to November 2009. Prior thereto, Mr. Godlasky served as Chairman of the Board, Chief Executive Officer and President of AmerUs Group, Des Moines, Iowa, a life insurance and annuity business, which was acquired by Aviva plc in 2006, from November 2005 to November 2006 and as President and Chief Operating Officer from November 2003 to November 2006. He also served as a director of AmerUs Group from November 2003 until November 2006, whereupon he joined the Aviva USA Board of Directors until March 2010. Mr. Godlasky earned the Chartered Financial Analyst designation in 1992.
Ms. Kathie J. Andrade
Former CEO of Retail Financial Services at TIAA
Ms. Andrade has been a director of the Company since March 2019. She served as a member of the Executive Committee of TIAA, a financial services organization in New York, New York, from 2014 to June 2018 and as CEO of its Retail Financial Services business and Chairman of TIAA Federal Savings from 2016 to August 2018. Ms. Andrade also served as President of TIAA Services Broker Dealer from 2011 to 2016. She joined TIAA in 2008 as COO of Wealth Management. Prior to TIAA, Ms. Andrade held a number of senior management positions at Bank of America, a financial services company in Boston, Massachusetts, from 1986 to 2008.
Ms. Sharilyn S. Gasaway
Former Executive Vice President and CFO of Alltel Corporation
Ms. Gasaway has been a director of the Company since July 2010. She has served as a director of Genesis Energy, L.P., a Houston, Texas diversified midstream energy master limited partnership, since March 2010 and of J.B. Hunt Transport Services, Inc., a transportation logistics company in Lowell, Arkansas, since February 2009. From February 2006 to January 2009, she served as Executive Vice President and Chief Financial Officer of Alltel Corporation (“Alltel”), a U.S. wireless telecommunications network operator, acquired by Verizon Wireless in 2009. She served as Corporate Controller of Alltel from May 2002 to February 2006 and as Controller of Alltel Communications, Inc., a subsidiary of Alltel, from April 1999 to May 2002. Prior thereto, she served as Audit Manager of the former independent registered public accounting firm Arthur Andersen LLP from 1992 to April 1999.
Mr. James A. Jessee
Former Co-Head of Global Distribution and President of MFS Fund Distributors, Inc.
Mr. Jessee has been a director of the Company since July 2019. He served as a member of the Management Committee of MFS Investment Management, an investment management company based in Boston, Massachusetts, from 2011 to 2017. Mr. Jessee was President of MFS Fund Distributors, Inc. from 2004 to 2017 and Co-Head of Global Distribution from 2011 to 2017. Prior to that, he held various positions with MFS from 1987 to 2004. Mr. Jessee also served on the board of the Investment Company Institute from 2014 to 2018.
Mr. Alan W. Kosloff
Chairman, Kosloff & Partners, LLC
Alan W. Kosloff has been a Director of the Company since January 2003 and was Lead Independent Director from January 2010 to April 2018. Prior thereto, he served as Chairman of the Board from May 2005 through December 2009. He has served as Chairman of Kosloff & Partners, LLC, Edwards, Colorado, a consulting and investment firm since April 1996. Previously, he served as Chairman of Jones & Mitchell, Olathe, Kansas, an imprinted and licensed sportswear company from October 1997 to March 2005 and as Chairman, Chief Executive Officer and President of American Marketing Industries, Inc., Kansas City, Missouri, an apparel manufacturing, distribution and marketing firm from 1976 to 1995.
Mr. Dennis E. Logue
Chairman, Ledyard National Bank
Dennis E. Logue has been a Director of the Company since January 2002. He has served as Chairman of the Board of Ledyard Financial Group, Inc., a bank holding company located in Hanover, New Hampshire, since August 2005. Additionally, Mr. Logue has served as an Emeritus Professor of Management at the Amos Tuck School, Dartmouth College since August 2005. He served as Dean of the Michael F. Price College of Business at the University of Oklahoma from July 2001 to September 2005. Prior thereto, Mr. Logue held numerous business oriented professorships, including at the Amos Tuck School, Dartmouth College from July 1974 to June 2001. He has also worked as a consultant and expert witness on various financial matters since 1974. Mr. Logue has served as a director of Abraxas Petroleum Corporation, San Antonio, Texas, a natural gas and crude oil exploration, development and production company since April 2003 and of ALCO Stores, Inc., Dallas, Texas, a general merchandise retailer from May 2005 through September 2014.
Mr. Michael F. Morrissey
Retired Partner, Ernst & Young, LLP
Mr. Morrissey has been a director of the Company since July 2010. He has been a director of Ferrellgas Partners, L.P., a propane gas marketing and distribution company in Liberty, Missouri since 1999. He was a director of Westar Energy, Inc., an electric service company based in Topeka, Kansas from 2003 through May 2015. Mr. Morrissey retired in September 1999 after serving 24 years, including 17 years as a partner, with Ernst & Young LLP, an auditing and financial services firm. Prior thereto, Mr. Morrissey worked for five years for another major accounting firm and six years for a motor truck manufacturer. Mr. Morrissey has been a Certified Public Accountant since 1972. Mr. Morrissey also served as a director of Blue Cross Blue Shield of Kansas City, a Kansas City, Missouri health insurance company, from 2006 through April 2017; of J.E. Dunn Construction Group, Inc., a private construction business located in Kansas City, Missouri, from 2000 through January 2017; of Balance Innovations, Inc., an office management technology company located in Lenexa, Kansas, since 2008; and a special advisor to the audit committee of the Dairy Farmers of America, a farmer owned milk marketing cooperative located in Kansas City, Missouri from 2000 through August 2014. Mr. Morrissey also serves as a director or trustee for numerous non profit, civic, and charitable organizations.

Mr. Jerry W. Walton
Consultant and former Chief Financial Officer of J.B. Hunt Transport Services, Inc.
Jerry W. Walton has been a Director of the Company since April 2000. Mr. Walton served as a business consultant to Hunt Ventures, a group of private companies located in Rogers, Arkansas, from April 2010 to February 2016. He served as Executive Vice President of Finance and Administration and Chief Financial Officer of J.B. Hunt Transport Services, Inc., a transportation provider in Lowell, Arkansas, from October 1991 until September 2009. Prior thereto, Mr. Walton served as a managing partner and a tax partner with KPMG, with whom he had been employed since 1968.
