Mr. Philip J. Sanders
Chief Executive Officer and Chief Investment Officer

Philip Sanders is Chief Executive Officer, Chief Investment Officer and a member of the Board of Directors of Waddell & Reed Financial, Inc. (WDR), a national asset management and distribution company headquartered in Overland Park, Kansas. He also serves as Chief Executive Officer of Waddell & Reed Investment Management Company (WRIMCO) and Ivy Investment Management Company (IICO).

Mr. Sanders joined Waddell & Reed in 1998 as vice president and portfolio manager of Ivy Funds VIP Growth. He co-managed Waddell & Reed’s large cap growth institutional accounts from 1998 to 2016, and co-managed the large cap growth product suite from 2006 to 2016. Mr. Sanders was appointed senior vice president of WRIMCO in 2000 and IICO at its formation in 2003. He was appointed CIO of WRIMCO and IICO in 2010. He was appointed senior vice president and CIO of WDR in 2011. Mr. Sanders was named CEO of WDR in 2016.

Mr. Sanders received his BA in Economics in 1980 from the University of Michigan. He earned an MBA from the University of North Carolina at Charlotte in 1986.

Prior to joining Waddell & Reed, Mr. Sanders was affiliated with Banc of America Capital Management, the investment management division of Bank of America. He began his investment career as an equity research analyst in 1988 and was appointed portfolio manager in 1992.

Mr. Sanders is a CFA charter holder. He is a member of the CFA Institute and the Kansas City CFA Society.

Mr. Brent K. Bloss
Senior Vice President, Chief Financial Officer and Treasurer

Brent Bloss is Senior Vice President, Chief Financial Officer and Treasurer of Waddell & Reed Financial, Inc. (WDR), a national asset management and distribution company headquartered in Overland Park, Kansas.

Mr. Bloss joined Waddell & Reed as Assistant Vice President and Assistant Treasurer of WDR in 2002. He was appointed Vice President of WDR in 2004. He was named Treasurer of WDR in 2006. He was appointed Senior Vice President-Finance and Principal Accounting Officer of WDR in 2007. Mr. Bloss was appointed Senior Vice President and Chief Financial Officer of WDR in 2014.

Prior to joining Waddell & Reed, Mr. Bloss was affiliated with the international accounting firm KPMG LLP, where he held the position of Senior Audit Manager, specializing in both financial service and transportation companies.

Mr. Bloss received his BS in accounting from Missouri State University. He earned an MBA with a concentration in finance from the University of Missouri/Kansas City.

Mr. Bloss is a Certified Public Accountant. He is a member of the American Institute of Certified Public Accountants (AICPA) and the Missouri Society of Certified Public Accountants. He holds a Financial Industry Regulatory Authority (FINRA) Series 27 Financial Operation Principal license.

Ms. Wendy J. Hills
Chief Legal Officer, Senior Vice President, General Counsel and Secretary

Wendy Hills is Chief Legal Officer and General Counsel of Waddell & Reed Financial, Inc., a national asset management and distribution company headquartered in Overland Park, Kan. Ms. Hills is also General Counsel for all subsidiary companies. In these roles, she is responsible for all legal, regulatory and corporate governance matters. She oversees the Legal, Investment Management Compliance, Broker-Dealer Compliance and Internal Audit divisions.

Ms. Hills began her career with Waddell & Reed shortly after the Company's initial public offering in 1998. She joined the firm as Compliance Officer for the company's affiliated mutual funds and transitioned to legal and regulatory matters involving the public company in 2000. Ms. Hills was promoted to General Counsel in February 2014.

Prior to joining Waddell & Reed, Ms. Hills was associated with Klenda, Mitchell, Austerman & Zuercher, L.L.C., a Wichita-based law firm, where she was engaged primarily in the practice of corporate and securities law. Ms. Hills received her J.D. from the University of Kansas School of Law in 1997. She holds Financial Industry Regulatory Authority (FINRA) Series 7 and Series 24 licenses.

Mr. John E. Sundeen, CFA
Senior Vice President, Chief Administrative Officer-Investments

John E. Sundeen is Executive Vice President, Chief Administrative Officer of Waddell & Reed Investment Management Company and Ivy Investment Management Company. Mr. Sundeen also serves as Senior Vice President, Chief Administrative Officer-Investments of Waddell & Reed Financial, Inc., a national asset management company headquartered in Overland Park, Kansas.

Mr. Sundeen joined Waddell & Reed in 1983 and after serving as an analyst in the fixed income department he became a portfolio manager of institutional separate accounts and mutual funds. From 1991 to 1997, he managed the Waddell & Reed Advisors Government Securities Fund. From 1995 to 1999 Mr. Sundeen served as Head of Fixed Income, where he was responsible for the administration of all fixed income portfolios. To support the demands of being a public company, he left the investment management division in 1999 and was appointed Senior Vice President, Chief Financial Officer, and Treasurer of Waddell & Reed Financial, Inc.

To manage for Waddell & Reed’s growth, the firm re-optimized the senior executive management team in 2004; at that time Mr. Sundeen was appointed to his current position as Executive Vice President, Chief Administrative Officer overseeing administrative and operational aspects of investment management.

Mr. Sundeen graduated from the University of Kansas in 1983 with a BS in Business Administration and Accounting. In 1986 he earned an MBA with an emphasis in Finance from the University of Missouri at Kansas City. Mr. Sundeen is a Chartered Financial Analyst (CFA) and a member of the CFA Institute. He is a member and past president of the Kansas City CFA Society.

Non-Executive Chairman of the Board
Henry J. Herrmann served as Chief Executive Officer of Waddell & Reed from May 2005 to August 2016. Mr. Herrmann served as President from March 1998 to May 2005, and as Chief Investment Officer from March 1987 to June 2005. He has been a director of the Company since March 1998 and Chairman of the Board since January 2010. Mr. Herrmann is a Trustee of the Waddell & Reed Advisors Group of Mutual Funds, Ivy Funds, Inc. (formerly, known as 'W&R Funds, Inc.'), Ivy Funds Variable Insurance Portfolios, and InvestEd Portfolios, Inc. and a Trustee of the Ivy Funds (formerly, known as 'Ivy Funds').
Mr. Alan W. Kosloff
Lead Independent Director and Chairman, Kosloff & Partners, LLC., Kansas City, MO
Mr. Kosloff has been a Director of the Company since January 2003 and Lead Independent Director since January 2010. Prior thereto, he served as Chairman of the Board from May 2005 through December 2009. He has served as Chairman of Kosloff & Partners, LLC, Kansas City, Missouri, a consulting and investment firm since April 1996. Previously, he served as Chairman of Jones & Mitchell, Olathe, Kansas, an imprinted and licensed sportswear company from October 1997 to March 2005 and as Chairman, Chief Executive Officer and President of American Marketing Industries, Inc., Kansas City, Missouri, an apparel manufacturing, distribution and marketing firm from 1976 to 1995.
Ms. Sharilyn S. Gasaway
Former Executive Vice President and CFO of Alltel Corporation, Little Rock, AR
Ms. Gasaway has been a director of the Company since July 2010. She has served as a director of Genesis Energy, L.P., a Houston, Texas diversified midstream energy master limited partnership, since March 2010 and of J.B. Hunt Transport Services, Inc., a transportation logistics company in Lowell, Arkansas, since February 2009. From February 2006 to January 2009, she served as Executive Vice President and Chief Financial Officer of Alltel Corporation ("Alltel"), a U.S. wireless telecommunications network operator, acquired by Verizon Wireless in 2009. She served as Corporate Controller of Alltel from May 2002 to February 2006 and as Controller of Alltel Communications, Inc., a subsidiary of Alltel, from April 1999 to May 2002. Prior thereto, she served as Audit Manager of the former public accounting firm Arthur Anderson LLP from 1992 to April 1999.
Mr. Thomas C. Godlasky
Former CEO of Aviva North America, Chicago, IL
Mr. Godlasky has been a director of the Company since July 2010. Mr. Godlasky served as Chief Executive Officer of Aviva North America from July 2007 to March 2010. Mr. Godlasky also served in the dual position as Chief Executive Officer and President of Aviva USA from November 2006 to November 2009. Prior thereto, Mr. Godlasky served as Chairman of the Board, Chief Executive Officer and President of AmerUs Group, which was acquired by Aviva plc in 2006, from November 2005 to November 2006 and as President and Chief Operating Officer from November 2003 to November 2006.
Mr. Dennis E. Logue
Chairman, Ledyard National Bank, Hanover, NH
Mr. Logue has been a Director of the Company since January 2002. He has served as Chairman of the Board of Ledyard National Bank, Hanover, New Hampshire, since August 2005. Additionally, Mr. Logue has served as an Emeritus Professor of Management at the Amos Tuck School, Dartmouth College since August 2005. He served as Dean of the Michael F. Price College of Business at the University of Oklahoma from July 2001 to September 2005. Prior thereto, Mr. Logue held numerous business-oriented professorships, most recently at the Amos Tuck School, Dartmouth College from July 1974 to June 2001. Mr. Logue is also a director of Abraxas Petroleum Corporation, San Antonio, Texas, a natural gas and crude oil exploration, development and production company and of Duckwall-Alco Stores, Inc., Abilene, Kansas, a general merchandise retailer.
Mr. Michael F. Morrissey

Mr. Morrissey has been a director of the Company since July 2010. He has been a director of Ferrellgas Partners, L.P., a propane gas marketing and distribution company in Overland Park, Kansas since 1999 and of Westar Energy, Inc., an electric service company based in Topeka, Kansas since 2003. Mr. Morrissey retired in September of 1999 after serving 24 years, including 17 years as a partner, of Ernst & Young LLP, an auditing and financial services firm. Prior to that, Mr. Morrissey worked for 5 years for another major accounting firm and 6 years for a motor truck manufacturer. Mr. Morrissey has been a Certified Public Accountant since 1972. Mr. Morrissey has also served as a director of Blue Cross Blue Shield of Kansas City, a Kansas City, Missouri insurance company, since 2006; of J.E. Dunn Construction Group, Inc., a private construction business located in Kansas City, Missouri, since 2000; of Balance Innovations, Inc., an office management technology company located in Lenexa, Kansas, since 2008; and a special advisor to the audit committee of the Dairy Farmers of America, a farmer-owned milk marketing cooperative located in Kansas City, Missouri since 2000. Mr. Morrissey also serves as a director or trustee for numerous non-profit, civic, and charitable organizations.

Mr. Raines has been a Director of the Company since July 1998. He has served as President of James M. Raines and Company, San Antonio, Texas, an investment banking firm since September 1988 and served as a director of Clear Channel Outdoor Holdings, Inc., a San Antonio, Texas outdoor advertising company from November 2005 through May 2010.
Mr. Jerry W. Walton
Consultant and former Chief Financial Officer of J.B. Hunt Transport Services, Inc., Lowell, AR
Mr. Walton has been a Director of the Company since April 2000. Mr. Walton currently serves as a business consultant to several companies, including J.B. Hunt Transport Services, Inc., a transportation provider in Lowell, Arkansas, for whom he served as Executive Vice President of Finance and Administration and Chief Financial Officer from October 1991 until September 2009. Prior thereto, Mr. Walton served as a tax partner with KPMG, with whom he had been employed since 1968.
